Terms of Service / 服务条款

Version 1.0. Effective Date: August 12, 2026. Operated by WEI,LIBO, doing business as youkit studio.

1. Introduction and Acceptance

Welcome to odms.io. The Service is operated by WEI,LIBO, an individual / sole trader doing business as youkit studio ("youkit studio", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of odms.io and related ODMS products, including ODMS Studio, ODMS Insight, ODMS Connect, hosted services, licensed software, demos, documentation, support, and related AI-powered or data-management features (collectively, the "Service").

By creating an account, subscribing to a plan, purchasing a license, using a trial, accessing a demo, or otherwise using the Service, you confirm that you are at least 18 years old, have read and agree to these Terms, agree to our Privacy Policy, and are authorized to enter into this agreement for yourself or the organization you represent.

If you do not agree to these Terms, you may not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

2. Service Description

ODMS is an AI-assisted data management and business operations platform. It helps users connect to OData interfaces and relational databases, manage data access, browse entities and metadata, run governed queries, create datasets, build business spaces and ontology-based applications, and use AI-assisted analysis and automation features.

The Service is a digital, intangible software product delivered through the internet and, where applicable, private deployment or licensed software packages. Upon confirmed payment or license activation, access may be granted immediately.

Some features may use third-party AI model providers, AI gateways, or user-configured model endpoints. Availability, latency, output quality, and behavior may be affected by those providers or by the model configuration selected by you or your organization.

3. Account Registration and Eligibility

Certain parts of the Service require an account. You must provide accurate and complete information, keep your login credentials confidential, and remain responsible for all activity under your account.

  • Notify us immediately of unauthorized use or suspected security issues at [email protected].
  • Do not share your credentials with third parties.
  • Keep account, organization, billing, and contact information up to date.
  • If you register for a company or organization, you represent that you have authority to bind that entity to these Terms.

4. Plans, Licenses, Billing, and Payment

We may offer subscriptions, annual licenses, private deployment licenses, demos, trials, support services, and implementation services. Current plan details may be shown at odms.io/pricing or provided in a written quote, order form, invoice, checkout page, or other agreement accepted by you.

By providing a payment method and subscribing to a paid plan, you authorize youkit studio and its payment processor to charge the payment method for applicable fees, taxes, and accepted charges. Subscriptions renew automatically unless cancelled.

Payment processing may be provided by Waffo Pancake or another payment processor identified at checkout or on your invoice. Payment card data is processed by the payment processor and is not stored on our servers.

Prices are exclusive of applicable taxes unless otherwise stated. You are responsible for taxes that apply to your purchase or use of the Service.

5. Cancellation

You may cancel a subscription at any time through:

  • Account Settings or Billing settings, where self-service cancellation is available.
  • Email from your registered email address to [email protected].

Email cancellation requests should include your account email, organization name if applicable, and subscription or invoice reference. We will acknowledge cancellation requests within 2 business days.

Cancellation stops future billing after it is processed, but your subscription generally remains active until the end of the current paid billing period. Cancellation does not automatically refund fees already paid except as stated in these Terms, at checkout, in an order form, or as required by law.

6. Refund Policy

Because the Service is a digital software service and access may be delivered immediately, subscription, license, and service fees are generally non-refundable except as expressly stated in these Terms, at checkout, in an order form, or as required by applicable law.

You may be eligible for a refund in the following cases:

  • First-time subscriber 7-day guarantee, provided usage has not exceeded 20% of the plan quota or materially consumed implementation, support, or private deployment services.
  • Confirmed duplicate billing errors.
  • A hosted paid Service outage within our control lasting at least 72 consecutive hours, where we may provide a pro-rated refund or service credit.
  • Mandatory cancellation, withdrawal, refund, or consumer protection rights required by applicable law.

To request a refund, contact [email protected] with your account email, transaction ID or invoice number, organization name if applicable, and reason for the request. We will acknowledge requests within 2 business days and process eligible refunds within 5 to 10 business days after approval, subject to payment processor timing.

Fees for used subscription periods, services already performed, and accounts terminated for violation, fraud, abuse, security risk, or breach of the Acceptable Use Policy are non-refundable unless required by law or expressly agreed in writing.

7. Billing Disputes

If you believe there is an error in a charge, contact [email protected] before disputing the charge with your bank or card issuer. We will respond within 2 business days and will endeavor to resolve confirmed billing errors within 5 business days.

8. AI Output and Intellectual Property

Subject to these Terms and third-party provider terms, outputs generated by the Service in response to your inputs are owned by you or your organization. You may use outputs for lawful purposes consistent with these Terms.

By submitting prompts, files, database metadata, configuration, queries, business data, or other content, you grant youkit studio a limited license to process those inputs solely to provide, secure, maintain, troubleshoot, and improve the Service. We do not use your confidential inputs to train third-party AI models without your explicit consent.

The Service, ODMS software, documentation, user interface, workflows, designs, models, templates, source code, product names, logos, and related materials are owned by WEI,LIBO / youkit studio or its licensors.

9. Acceptable Use

You may use the Service only for lawful internal business, development, evaluation, data management, analysis, automation, and related purposes. You agree not to:

  • Violate laws, regulations, card network rules, sanctions rules, or third-party rights.
  • Generate or distribute illegal, defamatory, fraudulent, deceptive, or harmful content.
  • Produce malware, phishing content, exploit code, or cyberattack instructions.
  • Upload, process, or disclose data you do not have the right to use.
  • Interfere with security, authentication, rate limits, audit logs, or access controls.
  • Resell, sublicense, rent, lease, or provide managed access without written approval.
  • Use Service inputs, outputs, or derivatives to train, fine-tune, benchmark, distill, or develop a competing AI or machine learning system without written approval.
  • Rely on AI outputs as legal, medical, financial, tax, safety-critical, or other professional advice without review by a qualified professional.

10. Data, Privacy, and Security

Your use of the Service is governed by our Privacy Policy. Payment card data is processed by our payment processor and is not stored on our servers.

You are responsible for the legality, accuracy, security, backup, classification, and access permissions of data you connect to or process through the Service, including OData endpoints, relational databases, files, credentials, API keys, and business records.

Account data may be retained for up to 90 days after cancellation or account closure, then deleted or anonymized in accordance with our Privacy Policy unless a longer period is required for legal, tax, audit, security, or dispute purposes.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ERROR-FREE OPERATION, DATA ACCURACY, OR ACCURACY OF AI OUTPUTS.

AI outputs may be inaccurate, incomplete, misleading, outdated, or unsuitable for your use case. You are responsible for reviewing, testing, validating, and approving outputs and data-management results before relying on them.

The Service may assist with queries, exports, imports, transformations, writes, approvals, automation, database access, OData access, and data governance. You are responsible for reviewing configurations, permissions, queries, generated operations, and results before executing them in production systems.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEI,LIBO, DOING BUSINESS AS YOUKIT STUDIO, SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Term, Breach, and Termination

These Terms remain effective while you use the Service. We may suspend or terminate your account or access if you materially breach these Terms, fail to pay amounts due, create security risk, misuse the Service, engage in fraud or abuse, or if required by law.

If we terminate a paid subscription for reasons other than your breach, fraud, abuse, or legal requirement, we will provide a pro-rated refund or credit for the unused prepaid period. You may delete your account or request account closure by contacting [email protected].

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan, without regard to conflict-of-law rules, unless mandatory consumer protection laws in your jurisdiction require otherwise.

Before initiating formal proceedings, contact us at [email protected] so we can attempt informal resolution. If a dispute cannot be resolved informally, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance, unless mandatory law provides otherwise.

14. Updates and General Provisions

We may update these Terms from time to time. Material changes will be notified by email, website notice, in-product notice, or another reasonable method at least 14 days before the effective date when practical or required by law. Continued use after the effective date constitutes acceptance.

If any provision is found unenforceable, the remaining provisions remain in full force. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or transfer of the Service. Failure to enforce a provision is not a waiver.
